Terms of Service

These terms govern your access to and use of APEX OS, operated by APEX OS Inc.

1. Acceptance of Terms

By creating an account, accessing, or using APEX OS (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and APEX OS Inc. (“Company,” “we,” “us,” or “our”).

We may update these Terms from time to time. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.

2. Description of Service

APEX OS is an AI-powered operating system designed for real estate professionals. The platform provides a unified workspace combining customer relationship management, deal tracking, lead scoring, content generation, market intelligence, and an autonomous fleet of APEX operatives that handle administrative and analytical tasks on your behalf.

The Service is provided on an “as-is” and “as-available” basis. We continuously develop and improve the platform, and features may be added, modified, or removed at our discretion.

3. User Accounts and Registration

To use APEX OS, you must create an account and provide accurate, complete, and current information. You are responsible for:

Maintaining the confidentiality of your login credentials
All activity that occurs under your account
Notifying us immediately of any unauthorized access
Ensuring the information in your account remains accurate and up to date

You must be at least 18 years old to create an account. One person or legal entity may not maintain more than one account.

4. Subscription and Billing

APEX OS operates on a subscription basis. By subscribing to a paid plan, you authorize us to charge the applicable fees to your designated payment method on a recurring basis.

CHUM Credits: Certain features, including operative activations and swarm operations, consume CHUM credits. CHUM is an in-platform currency included with your subscription tier, with additional credits available for purchase.
Billing Cycle: Subscriptions are billed monthly unless otherwise specified. Fees are non-refundable except as required by applicable law.
Price Changes:We may modify pricing with at least 30 days’ notice. Continued use after a price change constitutes acceptance of the new pricing.
Cancellation: You may cancel your subscription at any time. Access continues through the end of the current billing period.

5. Acceptable Use

You agree not to use the Service to:

Violate any applicable local, state, national, or international law or regulation
Scrape, crawl, or extract data from the Service using automated means without our written consent
Share, transfer, or sell your account credentials to any third party
Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure
Upload or transmit viruses, malware, or any other malicious code
Use the Service to harass, abuse, or harm another person or entity
Reverse-engineer, decompile, or disassemble any part of the Service
Use AI-generated outputs from the Service to mislead consumers in real estate transactions

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

6. Intellectual Property

All content, features, and functionality of the Service — including but not limited to software, text, graphics, logos, icons, the APEX OS brand, the CHUM economy system, and AI agent architecture — are owned by APEX OS Inc. and protected by United States and international copyright, trademark, and other intellectual property laws.

You retain ownership of all data you input into the Service. By using the Service, you grant us a limited license to process, store, and display your data solely for the purpose of providing the Service to you.

7. Data Privacy

Your privacy matters to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

8. AI-Generated Content Disclaimer

APEX OS uses artificial intelligence to generate content, recommendations, analyses, and automated actions. You acknowledge and agree that:

AI-generated outputs are suggestions only and should not be relied upon as legal, financial, tax, or professional advice
You are solely responsible for reviewing, verifying, and approving any AI-generated content before using it in business operations or client communications
AI outputs may contain errors, inaccuracies, or biases, and we do not guarantee their accuracy or completeness
The Company is not liable for any decisions made or actions taken based on AI-generated content
AI-generated market analyses, lead scores, and property valuations are estimates and should be independently verified

9. Limitation of Liability

To the maximum extent permitted by applicable law, APEX OS Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability for all claims related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

This limitation applies regardless of the theory of liability, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory.

10. Termination

Either party may terminate this agreement at any time. You may terminate by canceling your subscription and ceasing use of the Service. We may terminate or suspend your account if:

You breach any provision of these Terms
We are required to do so by law
We decide to discontinue the Service or any part thereof

Upon termination, your right to access the Service ceases immediately. We will retain your data in accordance with our Privacy Policy and provide a reasonable window for you to export your data upon request.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice within the Service at least 30 days before they take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Rhode Island, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in the State of Rhode Island, and you consent to the personal jurisdiction of such courts.
